By engaging with Bee-Big and accessing our services, users acknowledge their understanding and acceptance of the following Terms and Conditions, along with the terms provided in our Privacy Policy.
Users are responsible for maintaining the confidentiality of their passwords and for all activities conducted using their account. Services are available only to individuals who are at least 18 years old.
The Site offers online maintenance and support services for owners of WordPress websites.
Our services include:
• Monthly and Annual IT Support Plans
• Website Hosting Services
Access to the Site and Services may be interrupted from time to time due to maintenance or other events beyond our control. Bee-Big reserves the right to modify or discontinue the Site and Services at any time.
Our IT support services are subject to a Fair Use policy. If the usage of support exceeds a reasonable level, additional fees may apply, which will be communicated beforehand.
Limitation of Liability Bee-Big will not be liable for any direct, indirect, incidental, consequential, or exemplary damages resulting from the use of our Services. Any claims are limited to the amount paid for the Services.
Users agree to release and indemnify Bee-Big from any claims or damages resulting from their use of the Site and Services.
Services are provided on an “as is” and “as available” basis. Bee-Big does not guarantee that Services will meet your requirements or be uninterrupted and error-free.
Minutes included in the IT support plans do not carry over to the next month. Unused minutes will expire at the end of each billing cycle.
All content on the Bee-Big website, including text, graphics, logos, and images, are the property of Bee-Big and protected by copyright and trademark laws. Unauthorized use is prohibited.
a) If the proposal includes ongoing marketing services, an initial payment must be made in advance of scheduling a Kickoff Meeting, and subsequent recurring payments are due on the first of each month. Payments must be made via automatic bank draft (ACH) and are billed in one-month increments. Once recurring services are paid in full to Bee-Big LLC, all elements of coding, text, content writing, backlinks, domain names, social media profiles, or any other SEO services are owned entirely by Bee-Big.
b) Late payments will incur a charge of 1.5% for each month that the payment is overdue. Payments will be considered received as of the postmark date or submission date of online payments. If the payment is late for more than three months, Bee-Big reserves the right to terminate services.
c) Clients located in Texas are required to pay Texas state sales tax (6.4%) for web design and web hosting. This will be calculated and included on each invoice. Other relevant taxes and fees apply.
d) Prices are subject to change and will be communicated in writing prior to any adjustments. Payment of invoices following price changes constitutes agreement to new prices.
a) Bee-Big reserves the right to work with any organization or business for their online marketing needs, including but not limited to SEO, social media, email marketing, content writing, and e-commerce optimization. If two direct competitors approach Bee-Big, a non-disclosure agreement may be signed to protect each client’s confidential or sensitive information. Bee-Big aims to provide professional expertise and knowledge to increase leads for any business.
b) For ongoing marketing services, this contract will be on a six (3)-month agreement basis.
c) For month-to-month marketing contracts and web projects, the client can cancel services at any time with thirty days (30) written notice sent to angel@bee-big.com.
d) This proposal will automatically renew at the end of each term for a further term of the same length unless either party provides written notice of termination at least thirty (30) days prior to the end of the current term.
e) Bee-Big may terminate this proposal without cause by giving the client thirty (30) days prior written notice.
f) Upon termination of this proposal by either party, the client will immediately pay Bee-Big all undisputed fees, costs, and expenses owed or incurred by Bee-Big up to the effective date of termination. Additionally, both parties will promptly return all data, materials, and property held by the other. If the client has not paid outstanding invoices for services performed by Bee-Big before the termination date, Bee-Big is entitled to retain or recover any deliverables until payment is made, in addition to any other remedies available under law or equity.
g) If the client terminates the contract before the end of the term, the client agrees to pay Bee-Big fifty percent (50%) of the fees due for the remainder of the contract term.
h) Business Interruption: Bee-Big understands that during the term of the contract, the client may face supply or staffing issues that impact their ability to provide products or services. If the client experiences supply or staffing issues related to the specific products or services that Bee-Big has been engaged to market, the client can pause the contract for up to three (3) months or until the issue is resolved, whichever is shorter. The contract will resume at the end of the pause period for the full remaining length of the contract term. For instance, If a 6 month contract is paused after the second (2nd) month, it will resume for an additional four (4) months once the pause period is concluded If the client declines to continue the full contract term after the pause has concluded, a penalty of fifty percent (50%) of the remaining contract fees will be assessed.
a) Ownership and Use of Materials Upon full payment for the services provided by Bee-Big, the Client will obtain ownership of the finished work resulting from the engagement, including but not limited to text, graphics, photos, content, trademarks, and domain names, subject to the terms outlined herein. Notwithstanding the foregoing, for services rendered under the Starter, Growth, and Scale social media plans, Bee-Big retains exclusive ownership of all original content created, including texts, graphics, and any other materials. Bee-Big reserves the right to reuse, modify, and distribute any such content for any purpose, at its discretion, including redistributing said content to other clients in similar industries. The Client acknowledges and agrees that content produced under these plans is non-exclusive and may be used by Bee-Big in various projects and capacities.
b) Client Responsibilities and Indemnification The Client is responsible for ensuring that any images, designs, or other elements provided to Bee-Big for incorporation into the marketing materials are used with the permission of the rightful owner. The Client agrees to indemnify, defend, and hold harmless Bee-Big against any claims, suits, liabilities, damages, and expenses arising from the use of such elements not properly licensed or owned by the Client.
c) Portfolio Rights Bee-Big retains the right to display graphics and other content elements produced as part of the services rendered, including those under the Starter, Growth, and Scale plans, as examples of their work in portfolios, marketing materials, and similar displays of Bee-Big’s capabilities.
d) Use Across Platforms Unless otherwise specified, designs and content created by Bee-Big may be utilized across the platforms specified by the Client. Should unique designs or content be required for different platforms, additional fees may apply, subject to a separate agreement or amendment to the existing terms.
a) Both parties agree that during the term of this Proposal and for a period of one (1) year thereafter, they will not directly or indirectly employ or offer employment to any employee or former employee of the other party. This includes any form of employment, consulting, contract relationship or other arrangement pursuant to which such individual will perform services for the Client. Furthermore, both parties agree to promptly notify each other of any communications with personnel seeking employment.
b) Bee-Big reserves the right to assign any and all work, including but not limited to digital marketing, web development, creative services, and reputation management, to employees and/or contractors of their own choosing. However, Bee-Big will remain fully responsible for the performance of any such employee or third party.
a) Client agrees to indemnify and hold Bee-Big harmless against any third-party action, claim or lawsuit arising from the deliverables provided by Bee-Big that infringe any patent, copyright or misappropriate any trade secret rights.
b) Bee-Big does not make any warranties or representations with respect to any third-party products, including hardware and software, provided in connection with the services.
c) Client acknowledges that Bee-Big makes no representation or warranty regarding the ADA/WCAG compliance of the website, and assumes full responsibility for any violations of ADA/WCAG requirements by the website.
d) Bee-Big shall not be liable to Client for any claims or lawsuits resulting from the website or any other deliverables not being ADA/WCAG compliant, and Client agrees to indemnify Bee-Big for any such claims or lawsuits.
e) Client shall be responsible for paying third-party advertising costs directly to the third-party marketing channels, and shall be solely responsible for tracking and paying all advertising costs. Bee-Big shall not be liable for any advertising costs spent above or below Client’s indicated budget, or for turning off advertising campaigns at the completion of a contract or project.
f) Bee-Big shall not be liable for any act or omission, or any event directly or indirectly resulting from any act or omission, of Agency or any third parties. Bee-Big’s liability under this agreement shall be limited to the amount received by Bee-Big from Client for the performance of digital marketing services. Bee-Big shall not be liable for any consequential, special, indirect, exemplary, punitive, or other damages, including but not limited to, damages for loss of data, lost profits, loss of business, or procurement of substitute goods or services, whether based in contract, tort (including negligence) or otherwise, even if Bee-Big has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.
The parties acknowledge that during the course of their business relationship, personnel from both parties may have access to information that is confidential and/or proprietary and has commercial value. This information includes but is not limited to, price quotes, preliminary concepts, sales and/or marketing proposals, branding strategies, creative designs and concepts, technical data, web designs, trade secrets and know-how, research, product plans, products, customer technical requirements, software, programming techniques, algorithms, services, suppliers, supplier lists, customers, employee lists, customer lists, markets, developments, inventions, processes, technology, designs, drawings, engineering, apparatus, techniques, hardware configuration information, marketing, forecasts, business strategy, finances or other business information disclosed by Bee-Big and identified in writing as confidential (“Confidential Information”). Each party agrees that any Confidential Information received from the other party shall not be disclosed to any third party or used for its own benefit, except as necessary for the performance of the services contemplated by this proposal and with the prior written consent of the disclosing party.
In the event of any dispute arising from this agreement, both parties agree to first attempt to resolve the dispute through mediation. If mediation is unsuccessful, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The party filing the dispute shall bear the cost of mediation or arbitration Payment must be made within 5 days of signing proposal. Please allow 1-2 weeks after payment is submitted for work and designs to be presented to you.This proposal outlines the project deliverables and the terms for revisions as follows:
● Revisions: Clients are entitled to three (3) revisions per project deliverable, provided these revisions are requested within 15 days from the date of the initial delivery.
● Revision Deadline Extension: The 15-day period for submitting revisions may be extended at our discretion if delays in deliverables are attributable to our agency.
● Additional Revisions: Any revisions requested beyond the three (3) included, or submitted after the 30-day period, will incur an additional fee equal to 15% of the total project cost.
